Acceptance of terms

By accessing revenueroster.com or submitting any form on this website, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use this website or submit any information.

These Terms apply to all visitors, organizations ("Clients"), and sales representatives ("Reps") who interact with Revenue Roster LLC, an Alabama limited liability company ("Revenue Roster," "we," "us," or "our").

These Terms govern your use of this website. The specific terms of any active engagement — including scope of work, compensation, timelines, and related obligations — are set out in a separate written engagement agreement executed by the applicable parties. Where these Terms and an engagement agreement conflict, the engagement agreement controls. Where they do not conflict, both apply.

The service

Revenue Roster is a sales matching service that connects organizations with commission-based sales professionals. We act as the billing intermediary for active engagements: Clients pay Revenue Roster, and Revenue Roster pays the Rep.

Submitting a form on this website does not create a binding engagement. An engagement begins only when both parties have executed a written agreement with Revenue Roster. We reserve the right to decline any intake submission or application at our sole discretion.

We do not guarantee any specific outcome, including number of deals closed, revenue generated, or the success of any particular match.

For organizations

By submitting an organization intake form, you represent that:

  • You are authorized to enter into agreements on behalf of your organization
  • All information you provide about your product, pipeline, and sales history is accurate and complete
  • You understand that compensation structures are negotiated and set out in your engagement agreement
  • You will fulfill payment obligations according to the terms in your engagement agreement
  • You will not engage a Rep introduced through Revenue Roster outside of this platform's billing relationship without written authorization from Revenue Roster

For sales reps

By submitting a rep application, you represent that:

  • All information provided — including your sales history, deal experience, and availability — is accurate and truthful
  • You are legally authorized to work as an independent contractor in your jurisdiction
  • You understand that you will be classified as a 1099 independent contractor, not an employee of Revenue Roster or the Client
  • You are responsible for your own tools, schedule, taxes, and methods of work
  • You will not circumvent Revenue Roster by engaging directly with a Client introduced through this platform outside of our billing relationship

Submitting an application does not guarantee placement. Revenue Roster matches Reps at its sole discretion based on Client needs and fit.

Acceptable use

You agree not to use this website or platform to:

  • Submit false, misleading, or fraudulent information in any form
  • Misrepresent your identity, credentials, authority, or deal history
  • Attempt to identify or contact other parties on the platform outside of Revenue Roster's facilitated process
  • Scrape, copy, or systematically extract content or data from the site
  • Interfere with the operation of the site or attempt to gain unauthorized access
  • Use the platform for any purpose that violates applicable law or regulation

Violation of this section may result in immediate removal from the platform and termination of any active engagement, without prejudice to any other remedy available to Revenue Roster.

Intellectual property

All content on this website — including text, design, graphics, logos, and the structure of our matching process — is the property of Revenue Roster LLC and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any part of this site without our prior written consent.

Any tools, algorithms, templates, scoring systems, or platform features developed by Revenue Roster in connection with its matching service remain the exclusive property of Revenue Roster.

Information you submit through our forms remains yours. By submitting it, you grant Revenue Roster a limited license to use it solely for the purpose of operating and improving our matching service.

Payments

All payment terms — including commission rates, onboarding fees, payment schedules, late fees, and extended payment options — are negotiated individually and set out in each party's engagement agreement. No payment obligation arises from submitting a form or visiting this website.

In the event of a conflict between these Terms and your engagement agreement on any payment matter, the engagement agreement controls.

Non-circumvention

Clients and Reps introduced to each other through Revenue Roster may not engage each other directly — outside of Revenue Roster's billing relationship — without Revenue Roster's prior written consent. This obligation applies for the duration defined in each party's engagement agreement and survives termination of that agreement.

Violation of this clause entitles Revenue Roster to a buyout fee and any other remedies set out in the applicable engagement agreement, in addition to any other damages available at law.

Confidentiality

Information shared during intake and the matching process — including product details, pricing strategy, sales pipeline data, and business information — is treated as confidential. We do not share this information with third parties except as required to operate the matching service or as required by law.

Reps and Clients introduced through Revenue Roster may share confidential information in the course of an engagement. Each party is responsible for using that information only for the purposes of the engagement and for protecting it with reasonable care.

Termination

Either party may terminate an active engagement according to the notice and process set out in the applicable engagement agreement. Revenue Roster reserves the right to remove any Rep from the roster, decline to match any organization, or suspend access to the platform at any time and for any reason, without liability.

Termination does not extinguish payment obligations for work performed prior to termination, or for deals that close within the commission tail period defined in the engagement agreement.

Indemnification

You agree to defend, indemnify, and hold harmless Revenue Roster LLC and its members, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of this website or the matching platform
  • Any information you submitted that was false, misleading, or unauthorized
  • Your breach of these Terms or any engagement agreement
  • Your conduct during an engagement, including any claims brought by the other matched party
  • Your violation of any applicable law or third-party right

Revenue Roster reserves the right to assume exclusive control of any matter subject to indemnification at your expense. You agree to cooperate with our defense of any such claim.

Limitation of liability

Revenue Roster is not liable for any indirect, incidental, special, consequential, or punitive damages arising from use of this website or any engagement facilitated through it — including lost profits, lost deals, lost data, or reputational harm — even if advised of the possibility of such damages.

Our total liability for any claim arising out of these Terms or any engagement will not exceed the total fees paid to Revenue Roster in the three months preceding the claim.

We make no warranties — express or implied — regarding the fitness of any Rep for a Client's needs, the outcome of any sales engagement, or the uninterrupted availability of this website.

Governing law

These Terms are governed by the laws of the State of Alabama, without regard to its conflict of law provisions. Any dispute arising from these Terms or any engagement facilitated through Revenue Roster will be subject to the exclusive jurisdiction of the courts of the State of Alabama, and both parties consent to that jurisdiction.

General provisions

Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

Entire agreement. These Terms, together with any executed engagement agreement, constitute the entire agreement between the parties with respect to the subject matter herein and supersede all prior agreements, representations, and understandings.

No waiver. Failure by Revenue Roster to enforce any provision of these Terms will not constitute a waiver of our right to enforce it in the future.

Modifications. We may update these Terms at any time. Material changes will be reflected in an updated "Last updated" date at the top of this page. Continued use of the website after changes are posted constitutes acceptance of the revised Terms. For parties with active engagement agreements, material changes will be communicated directly.

Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. Revenue Roster may assign these Terms in connection with a merger, acquisition, or sale of assets without restriction.
